As part of your purchase, you agree to the following terms:

PLEASE READ THESE TERMS OF USE (HEREINAFTER REFERRED TO AS “TERMS”) CAREFULLY BEFORE USING THIS WEBSITE. 

These Terms represent an agreement between you and Scott Kiloby LLC (also hereinafter referred to as “we”, “us”, or “our”) and govern your access and use of our websites www.kiloby.com, RepressionTest.com, members.kiloby.com and www.repression.me (hereinafter all referred to as “Website”), and all related pages and any of the products and services made available through any of the pages, as well as the Kiloby Inquiries Mentorship Space that is currently located at a platform provided by a third party. We collectively refer to the products and services for purchase in these terms as the “Services”. By using any of the Services, you acknowledge that you have read, understood and fully agree to be bound by and comply with these Terms. If you disagree with these Terms, please do not use our Website.

1. Services
   You agree that the Services, content, videos, handouts, worksheets, audio files, and any other materials made available on the Website by us, third parties or other subscribers to the Kiloby Inquiries Mentorship Space that is offered as part of the Services, as well as the look and feel of all of the preceding (collectively referred to as the “Content”) are maintained for your personal use and information only, by Scott Kiloby LLC and are the sole property of Scott Kiloby LLC. You agree that our Content includes all proprietary videos, HTML/CSS, Javascript, graphics, voice and sound recordings, artwork, photos, documents and text, and other materials on the Website. Subject to your compliance with these Terms, Scott Kiloby LLC grants you a limited, non-exclusive, non-transferable license to access, view and use the Services, subject to payment, for your personal use only. No Content may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or used for public or commercial purposes unless Scott Kiloby LLC expressly grants written permission. We may revoke (terminate) your license to use the Services, in whole or in part, without providing any refund or cancelling your obligation to make installment payments where applicable if we determine, in our sole discretion, that you have breached or violated any of the provisions of these Terms. We may also change, suspend, or discontinue any aspect of our Services at any time, including the availability of any promotions, feature or content.
   
   

2. Payments
   You may purchase licenses to certain Services through a one-time payment, in pre-defined installments, or subscription. When you make a purchase, you authorize us to charge the credit card you provide on a one-time basis, following your chosen payment plan or subscription renewal schedule. When you purchase a subscription to the Kiloby Inquiries Mentorship Space, you authorize us to charge the credit card you provide monthly, quarterly, half-yearly or yearly, depending on your selected payment plan. We reserve the right to cancel any order if necessary for reasons such as fraudulent orders or absence of payment.
   
   

3. Refunds and Cancellations
   All our services are non-refundable. To cancel a subscription, subscribers must do so themselves through our third-party platform (Circle) at least 24 hours before the end of the current subscription period for timely processing. Refunds are not available for active subscriptions. Cancellations will take effect starting with the next billing cycle.
   
   

4. Non-transferability
   All our Services are non-exchangeable and non-transferable between third parties and Services at the Website. If you wish to discontinue any Service, you may transfer to someone else the remaining time (subscription to the Kiloby Inquiries Mentorship Space) or the remaining Service (sessions or mentorship, except the training programs), to be arranged by you at your discretion.
   
   

5. Your Conduct
   You agree that you will not: (i) use the Services in a manner that (a) violates any applicable international, federal, state, provincial or local laws, regulations, rules, ordinances, statutes, requirements, codes or orders of any governmental or judicial authorities; (b) is fraudulent, deceptive or misleading; (c) is threatening, harassing, discriminatory, libelous, defamatory, pornographic or obscene; (d) violates anyone’s rights of privacy, publicity or other rights; (e) violates any contractual or fiduciary obligations; (f) infringes on any copyrights, trademarks, service marks, trade secrets, patents or other intellectual property rights; (g) has an adverse effect on our business, reputation or ability to provide Services; or (h) would otherwise be reasonably deemed objectionable under the circumstances; (i) violate any program guidelines applicable to use of particular Services or interfere with, impair or disrupt the ability of others to use such Services; (ii) use the Services so as to impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity or provide inaccurate information; (iii) violate or attempt to violate the security of the Services; (iv) reverse engineer, decompile or disassemble any portion of the Services; (v) “scrape” information from the Services by automated means; (vi) interfere with the ability of others or permit any unauthorized access to or use of any Services that you have licensed or to any password applicable to your account for the Services; (vii) use, redistribute or resell any part of the Services, other than such unremunerated sharing via social media as may be authorized on the Services or otherwise in writing by us; or (viii) reproduce, modify, display, distribute, sell, re-sell, distribute, publish, disclose, videotape, share, divulge, transfer, exploit or create derivative works from any of the Services, in whole or in part, except as expressly provided in these Terms or express consent by Scott Kiloby LLC. Pursuant to (i), any and all meetings or sessions organized by Scott Kiloby LLC or any of its third-party providers are deemed confidential.  Therefore, you will not, under any circumstances, share recordings from any Service with anyone, including those from any program, sessions or the Kiloby Inquiries Mentorship Space. Scott Kiloby LLC will not be held liable for people who violate these terms. In addition, we reserve the right to remove individuals who behave in a disruptive fashion, including those who share confidential recordings violating these terms, from any Service without refund.
   
   

6. Partial Confidentiality Waiver
   With the purchase of any Services, you consent to the disclosure and sharing of any information including recordings within the faculty of Mentors and Trainers regarding primary repression and its consequent programming, including sabotaging patterns, that may impact the effectiveness of facilitation, mentorship, or training by subsequent Mentors and Trainers.

You agree that recordings of workshops, meetings, retreats or excerpts from them may be used as part of future training or for marketing or future products. We value your privacy and confidentiality. If you prefer not to appear in any publicly released videos, please notify us at support@kiloby.com, and we will ensure that your presence is redacted out before release.

1. Proprietary Rights

We own all the Services, Content, and other intellectual property comprising the Services. This ownership includes all Intellectual Property Rights inherent in or appurtenant to the Methodology of KI (including all inquiries and context), Content, and Services. Without limitation, the Services contain proprietary material of Scott Kiloby LLC, which is protected by copyright and other laws respecting proprietary rights. The Services are also protected by copyright as a collective work and/or compilation under United States of America copyright laws, international conventions, and other copyright laws. Scott Kiloby LLC retains all rights in the Services, including all copyright and other proprietary rights worldwide, in all media.

You may not use the Services except as expressly permitted under these Terms. You may not use the methodology to assist others as if you have ownership, license, or certification to do so. Modification of the Content or use of the Content for any other purpose is a violation of the copyright and other proprietary rights of Scott Kiloby LLC and may be subject to monetary damages and penalties. You may not distribute, modify, transmit, or use the content of the Website or any Content, including any and all software, tools, graphics, and/or sound files, for public or commercial purposes without the express written permission of Scott Kiloby LLC.

All trade names, trademarks, images, and biographical information of people used in the Content and contained on the Website are either the property of, or used with permission by, Scott Kiloby LLC. The use of Content by you is strictly prohibited unless expressly permitted by these Terms. Any unauthorized use of Content may violate the copyright, trademark, and other proprietary rights of Scott Kiloby LLC and/or third parties, as well as laws of privacy, publicity, and other regulations and statutes. Nothing contained in this agreement or on the Website shall be construed as granting, by implication or otherwise, any license or right to use any Trademark or other proprietary information without the express written consent of Scott Kiloby LLC or third-party owners.

Scott Kiloby LLC respects the copyright, trademark, and all other intellectual property rights of others. Scott Kiloby LLC has the right, but not the obligation, to remove content and accounts containing materials that it deems, in its sole discretion, to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violate any party’s intellectual property or these Terms.

If you believe that your intellectual property rights are being violated and/or that any work belonging to you has been reproduced on the Website or in any Content in any way, you may notify Scott Kiloby LLC at support@kiloby.com. Please provide your name and contact information, the nature of your work and how it is being violated, all relevant copyright and/or trademark registration information, the location/URL of the violation, and any other information you believe is relevant.

1. Representations
   You represent and warrant that you are at least the age of majority in your country, state or province of residence.
   
   

2. Indemnity
   You agree to indemnify, defend and hold harmless Scott Kiloby LLC and its affiliates, owner, founders, agents or licensors thereof (collectively, the “Indemnified Parties”) from and against any and all claims, losses, damages, liabilities and costs, including reasonable attorneys’ fees, sustained by the Indemnified Parties in connection with any claim arising out of or relating to (i) your breach of this agreement and these Terms, (ii) any violation by you of law or the rights of any third party, (iii) your use of our Services, or (iv) your conduct in connection with the Website or the Services or with other users of the Website and Services. You shall cooperate as fully as reasonably requested by Scott Kiloby LLC in defence of any such claim. Scott Kiloby LLC reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you.
   
   

3. Disclaimers; Limitations of Liability
   This Website and all Content is for educational purposes only and is not intended in any way to be a replacement for, or a substitute to, qualified medical advice, diagnosis or treatment, or as a replacement for, or a substitute to, psychological advice, diagnosis, or treatment, or therapy from a fully qualified person. If you think you are suffering from a medical or psychological condition, consult your doctor or other appropriately qualified professional person or service immediately. Founders, Mentors and staff at Scott Kiloby LLC and third-party providers are not physicians, mental health therapists or counsellors, or addictions counsellors. They do not advise about how to live one’s life. They do not employ psychological techniques to improve one’s thinking, personal story, or belief systems. They assist people in seeing through their identities and bringing into consciousness the contractions in the body driving suffering, not constructing or changing beliefs or behaviors, as mental health counsellors do. This work is not based on Western psychology, science, medicine, or addiction counselling. This is spiritual work rooted in spiritual traditions such as Buddhism, Hinduism, Sufism, and Christian mysticism. We are not responsible or liable for any action made by a user based on the content of this Website. We are not liable for the contents of any external websites listed, or for any actions made by a user based on the contents of these external sites, nor do we necessarily endorse any product or service mentioned or advised on any of these external sites. Any data or information is provided for informational purposes only and is not intended for any other commercial or non-commercial purposes. While Scott Kiloby LLC uses reasonable efforts to include accurate and up-to-date information on the Website, we make no warranties or representations of its accuracy. Scott Kiloby LLC assumes no liability or responsibility for any errors or omissions in the Content, or for any actions taken in reliance thereon. By accessing the Website, you agree not to redistribute the material found therein, unless appropriate rights have been granted. We provide links to select sites for your convenience only. We do not necessarily endorse or recommend the services of any company. We shall not be liable for any damages or costs of any type arising out of or in any way connected with your use of our website. By using the site, you fully agree to these Terms. Withdrawal from some substances may cause seizures and/or other health conditions, including death, and the participant is strongly encouraged to obtain and continue in the care of a qualified healthcare provider before, during, and after the time in which he/she works with a Mentor. No claim is made for the cure of any disease or ailment. Scott Kiloby, the third-party providers on this Website, Scott Kiloby LLC, Living Realization, and the Natural Rest Company and all agents, organizations, and entities associated therewith are not responsible for any and all liability related to or arising from your participation in these inquiries. Scott Kiloby LLC does not warrant that use of the Content will be uninterrupted or error-free, that defects will be corrected, or that the Website, the Content, and/or the materials available on the Website are free from bugs or viruses or other harmful components. Scott Kiloby LLC shall not be responsible for any performance or service problems caused by any third-party website or third-party service provider. Any such problem shall be governed solely by agreement between you and that provider. You assume all responsibilities and obligations with respect to the use of the services and any decisions, advice, conclusions or recommendations made or given as a result of the use of the services, including without limitation any decision made or action taken by you in reliance upon the services. You are in charge of you. There is no guarantee that you will achieve any particular results using the techniques and tools provided in connection with the Services.
   
   

4. Law; Jurisdiction
   These Terms shall be governed by the laws of The United States of America, including and specifically the laws of Wyoming. You and Scott Kiloby LLC agree that any action or dispute between you and us will be resolved exclusively by arbitration in Wyoming.
   
   

5. Privacy
   Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms as an integral part of it. By using any Services, you acknowledge and consent to our collection and use of information as outlined in the Privacy Policy.
   
   

6. Changes
   We may modify these Terms at any time by posting changes on the Website; however, (i) these changes will only become effective and binding for you after we provide notice on the Website by updating the date at the bottom of these Terms that these have changed, (ii) the changes will only apply with respect to your use of the Services after such changes become effective, and (iii) any change in payment obligations will apply to your subsequent purchases on, or usage of, the Services. If at any time you find these Terms unacceptable and disagree with them, you withdraw your right to use or access the Services.

   The Services may contain links to websites that we do not operate. We are not responsible for the content of any such websites, and you should direct any concerns regarding such websites to their respective website administrators.
   
   

8. Protected Content
   By purchasing a subscription to the Kiloby Inquiries Mentorship Space that is offered as part of the Services, you agree that you will not distribute, copy, create or recreate any content that is recognizably similar to the Content without the express consent of Scott Kiloby LLC. By agreeing to these conditions, you hereby accept that any and all Content (courses, workbooks, handouts, worksheets, audio files and any other content) is owned solely by Scott Kiloby LLC, and you will not replicate it in any form.
   
   

9. Miscellaneous

• If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

• No joint venture, partnership, employment or agency relationship exists between you and Scott Kiloby LLC as a result of these Terms and/or your use of the Services. These Terms shall be effective as of the date you accept them. 

• These Terms represent the entire agreement between you and Scott Kiloby LLC with respect to the subject matter hereof, and supersede any and all prior understandings, statements or representations, whether electronic, oral or written, regarding the Services. 

• Scott Kiloby LLC may assign these Terms at its discretion. You may not assign these Terms. No waiver of any obligation or right of either party shall be effective unless in writing, executed by the party against whom it is being enforced. 

• In addition to money damages, Scott Kiloby LLC shall be entitled to seek equitable relief where appropriate if you breach any of these Terms. 

• The titles and subtitles in these Terms are used for convenience only and are not to be considered in construing it. All references herein to “including” and variations thereof shall be deemed to mean, “including, but not limited to.” All references herein to “we,” “our” or variations thereof shall be deemed to refer to Scott Kiloby LLC. All references herein to “you,” “your” or variations thereof shall be deemed to refer to you individually if you are entering into these Terms on an individual basis, and to the corporation, partnership or other organization or legal entity that you represent, if you are entering into these Terms on behalf of such organization or entity.
